4. Referral Process
4.1 The Referrer will be issued a unique Referral Code by Interworking. The Referrer may share their Referral Code directly or via their unique referral URL.
4.2 A referral will be considered valid and attributed to the Referrer only where the Referred Participant uses the Referrer's Referral Code or referral URL when completing the application webform.
4.3 If a Referred Participant fails to enter a Referral Code at the point of application, Interworking shall have no obligation to retrospectively attribute the referral or pay the Referral Fee, unless Interworking determines in its sole discretion that the referral can be verified by other means.
4.4 A Referrer may refer more than one person. Each valid referral will be treated independently under this Agreement.
5. Referral Fee
5.1 Subject to clauses 3, 4, and 7, Interworking shall pay the Referrer a Referral Fee of £100 (one hundred pounds) for each Eligible Referred Participant whose Placement has been underway for 14 calendar days and in respect of whom a successful Check-In has been completed.
5.2 The Referral Fee shall be paid by bank transfer to the Referrer's nominated UK bank account. The Referrer is responsible for providing accurate payment details to Interworking.
5.3 Interworking shall aim to process payment of the Referral Fee within 14 days of the Check-In being completed.
5.4 The Referral Fee is not affected by any additional discount that Interworking may apply to the Participant's programme fee.
5.5 The Referral Fee is personal to the Referrer and may not be transferred or assigned to any third party.
6. Participant Discount
6.1 Subject to clause 3, where a valid Referral Code is used at the point of application, Interworking will apply a Referral Discount of £100 (one hundred pounds) to the Participant's programme fee.
6.2 The Referral Discount will be deducted from the programme fee payable by the Participant, reducing it from the Headline Price of £1,195 to £1,095, unless an additional discount is also applicable.
6.3 The Referral Discount is not affected by any additional discount that Interworking may apply to the Participant's programme fee. Both discounts will apply cumulatively.
6.4 The Referral Discount applies once per Participant and is non-transferable.
7. Payment Conditions & Timing
7.1 The Referral Fee shall become payable only upon satisfaction of all of the following conditions:
the Referred Participant is an Eligible Referred Participant;
a valid Referral Code was used at the point of application;
the Participant's Placement has been underway for at least 14 calendar days; and
both the Participant and the Hiring Company have completed a successful Check-In with Interworking within the meaning of clause 2.
7.2 If a Placement is terminated or abandoned before 14 calendar days have elapsed, the Referral Fee will not be payable and no entitlement to it will arise.
7.3 There is no time limit on conversion: provided a valid Referral Code was used at the point of application, a Referral Fee may become payable regardless of the length of time between the initial referral and the commencement of the Placement.
8. Relationship of Parties
8.1 The Referrer is an independent individual and nothing in this Agreement creates, or shall be construed as creating, any employment, agency, partnership, or joint venture relationship between the Referrer and Interworking.

10.3 The Referrer must not share or process the personal data of any Referred Participant except to the extent strictly necessary to make the referral, and must not do so in a manner that would constitute a breach of applicable data protection legislation.

13.4 Waiver. No failure or delay by either Party in exercising any right under this Agreement shall constitute a waiver of that right.
13.5 Severance. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.6 Third Parties. This Agreement does not confer any rights on any person other than the Parties under the Contracts (Rights of Third Parties) Act 1999.
